Terms of Service

These Terms of Service (the "Terms") are a binding agreement between you and [Company Legal Name] ("GoodSeat", "we", "us") governing your use of the GoodSeat app and services (the "Service"). Please read them carefully. If you do not agree, do not use the Service.
1Acceptance of these terms
By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms for it.
2Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, and legally able to enter into contracts. You must provide accurate information and comply with all applicable laws and the rules of any airline you travel with.
3Your account
You are responsible for your account and for keeping your login credentials secure. You must not share your account, impersonate anyone, or create an account using false information. Notify us promptly of any unauthorized use. We may refuse, suspend, or reclaim usernames and accounts at our discretion.
4The seat exchange marketplace
GoodSeat is a venue that lets checked-in passengers list, discover, and exchange seats with other passengers on the same flight. When you list a seat, you represent that you are genuinely assigned that seat on that flight and are entitled to offer it. When you purchase a seat, you agree to the price and terms shown at checkout.
GoodSeat is not a party to the agreement between a buyer and a seller. We provide the platform, verification tools, payment handling, and messaging, but the exchange itself is between the two passengers.
5Payments, fees, and payouts
- Payments. Payments are processed by Stripe. By buying a seat, you authorize us and Stripe to charge your selected payment method for the total shown.
- Platform fee. GoodSeat charges a commission of 5% on each completed sale. The fee is reflected in the amounts shown before you confirm.
- Holding funds. Buyer funds may be held until the exchange is confirmed complete, then released to the seller.
- Payouts. Sellers receive payouts to the bank details they provide. You are responsible for the accuracy of those details and for any taxes on your earnings.
- Wallet. Any in-app wallet balance may be used within the Service as described in the app and is not a bank account or deposit.
6Refunds and cancellations
Because seat exchanges are time-sensitive and tied to a specific flight, sales are generally final once completed. If an exchange cannot be honored (for example, the seller did not actually hold the seat, or the airline reassigned it), contact us and we will review the transaction and may refund the buyer. We reserve the right to reverse payments and withhold payouts in cases of suspected fraud, chargebacks, or breach of these Terms.
7Community rules and prohibited conduct
To keep GoodSeat safe and fair, you agree not to:
- List a seat you do not hold, or misrepresent a seat, flight, or yourself.
- Harass, threaten, discriminate against, or endanger other users.
- Arrange payments outside the Service to avoid fees, or facilitate money laundering or fraud.
- Use the Service for anything illegal, or to violate an airline's rules or a crew member's instructions.
- Scrape, reverse engineer, disrupt, or attempt to gain unauthorized access to the Service.
- Upload content that is unlawful, infringing, deceptive, or harmful.
We may investigate and take action, including removing content, limiting features, or terminating accounts.
8Your content
You retain ownership of the content you submit (such as photos, your profile, and messages). You grant GoodSeat a non-exclusive, worldwide, royalty-free license to host, display, and use that content solely to operate and improve the Service. You are responsible for your content and must have the rights to share it.
9Airlines and no guarantee
You are responsible for complying with your airline's terms. GoodSeat is not affiliated with, endorsed by, or acting on behalf of any airline.
10Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error free, or that any exchange, match, or interaction will meet your expectations. Interactions with other users are at your own risk; use good judgment and standard safety precautions when meeting people.
11Limitation of liability
To the maximum extent permitted by law, GoodSeat and its officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or the conduct of other users. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid to GoodSeat in the three months before the claim, or fifty US dollars.
12Indemnification
You agree to indemnify and hold GoodSeat harmless from any claims, damages, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, your exchanges with other users, or your violation of these Terms or any law.
13Suspension and termination
You may stop using the Service and delete your account at any time (see the account deletion section of our Privacy Policy). We may suspend or terminate your access if you breach these Terms, create risk or legal exposure, or if we discontinue the Service. Provisions that by their nature should survive termination will survive.
14Governing law and disputes
These Terms are governed by the laws of [Governing Jurisdiction], without regard to its conflict-of-law rules. You agree that the courts located in [Governing Jurisdiction] will have jurisdiction over any dispute, unless applicable law grants you the right to bring proceedings elsewhere. Nothing in these Terms limits any mandatory consumer rights you have under local law.
